The following information pertains to the sell-out procedure pursuant to Articles 108, par. 2 and 109 of Legislative Decree No. 58 of February 24, 1998, as subsequently amended and supplemented (the “Italian Consolidated Financial Act”), as voluntarily implemented by Articles 9 and 10 of the Articles of Association of Star7 S.p.A. (the "Procedure" and the "Issuer"), carried out by 7BidCo S.p.A. ("7BidCo"), concerning a maximum of 761,390 common shares issued by Star7. The Procedure is executed exclusively in Italy pursuant to Articles 108, par. 2 and 109 of the Italian Consolidated Financial Act, as voluntarily implemented by Articles 9 and 10 of Star7 Articles of Association. The Procedure has not been and will not be conducted or publicized in the United States (i.e., directed at "U.S. Persons," as defined under the U.S. Securities Act of 1933, as amended), in Canada, Japan, and Australia, nor in any other country other than Italy where such Procedure is not permitted without authorization from the competent authorities or other compliance requirements on the part of 7BidCo (collectively, the "Other Countries"), nor using national or international communication or commercial channels of the Other Countries (including, by way of example, the postal service, email, telephone, and the internet), nor through any infrastructure of any financial intermediaries in the Other Countries, nor in any other manner. Copies of the Information Memorandum, or parts thereof, as well as copies of any subsequent documents that 7BidCo may issue in connection with the Offering, are not and must not be sent, transmitted in any manner, or otherwise distributed, directly or indirectly, in the Other Countries. Anyone who receives the aforementioned documents must not distribute, send, or mail them (whether by mail or through any other means or instrument of communication or commerce) to the Other Countries. Any Sale Requests submitted as part of the Procedure that result from solicitation activities conducted in violation of the above restrictions will not be accepted. The submission of Sale Requests by persons residing in countries other than Italy may be subject to specific obligations or restrictions imposed by laws or regulations. It is the sole responsibility of the recipients of the Procedure to comply with such rules; therefore, before participating in the Procedure, they must verify the existence and applicability of these rules by consulting their own advisors and complying with the provisions themselves prior to participating in the Procedure.
